End-User License Agreement (EULA)

for the software GenoEasy

Important: By installing or using this software, you agree to the terms of this license agreement. If you do not agree, you may not install or use the software.

1. Contracting Parties

This license agreement is entered into between:

  • Licensor: Dag Zippel, Systemische Praxis, Breite Straße 8, 13187 Berlin (hereinafter referred to as "Provider")
  • Licensee: The natural or legal person who installs or uses the software (hereinafter referred to as "User")

2. Subject of the License

The Provider grants a non-exclusive, non-transferable license to use the software "GenoEasy" on the number of devices specified in the respective license model.

The software is intended for creating genograms in therapeutic, counseling and governmental contexts.

3. License Activation

  • The software requires a one-time online activation via a license server.
  • After successful activation, the software can be used offline without restriction.
  • The User is responsible for the safekeeping of the license key.
  • Sharing or publishing the license key is prohibited.
  • A device change is possible via the activation portal.

4. Scope of Use

The User may:

  • Use the software for its intended purpose
  • Save projects locally
  • Export created genograms and use them professionally
  • Create backups of local data

The User may not:

  • Decompile, tamper with or modify the software
  • Circumvent the license protection
  • Rent, lend or resell the software
  • Use screenshots or content to reconstruct the software itself
  • Install the software on more devices than specified in the license model

5. Data Protection (GDPR)

  • The software processes data exclusively on the User's local device.
  • No personal data is transmitted to the Provider.
  • Activation only transmits technical license data (license key, device hash).
  • The User is solely responsible under data protection law for the content entered.

For organizations (e.g. youth welfare offices, clinics), a Data Processing Agreement (DPA) can be provided upon request.

5a. HIPAA Compatibility Notice (United States)

  • GenoEasy stores all data exclusively on the User's local device. No client or patient data is transmitted to the Provider's servers.
  • This local-only architecture is designed to support healthcare providers in meeting their own HIPAA compliance obligations regarding data minimization and local control.
  • GenoEasy does not act as a Business Associate (as defined under HIPAA, 45 CFR § 160.103) and does not offer Business Associate Agreements (BAA). The User remains solely responsible for HIPAA compliance within their organization.
  • U.S. healthcare providers and covered entities should consult their compliance officer to assess whether GenoEasy meets their specific HIPAA requirements before use in a clinical setting.

6. Updates

  • Minor updates (version 1.x) are included in the purchase price of the Individual and Practice licenses.
  • Major version upgrades (e.g. 2.0) may be subject to a fee.
  • Annual licenses (Organization, Enterprise) include all updates during the license term.
  • The Provider is not obligated to provide updates.

7. Warranty

The software is carefully developed and tested. Nevertheless, the Provider does not guarantee error-free operation. Warranty claims are governed by the statutory provisions of German law.

In the event of defects, the Provider reserves the right to remedy them through updates or patches.

8. Liability

The Provider shall not be liable for:

  • Data loss due to improper use or missing backups
  • Indirect or consequential damages
  • Damages caused by improper use or use contrary to this agreement
  • Damages caused by third parties or force majeure

Liability for intent and gross negligence, as well as for damages arising from injury to life, body or health, remains unaffected.

9. Term and Termination

  • Individual License & Practice License: The license is valid indefinitely (one-time purchase).
  • Annual licenses: Automatically renew unless cancelled 30 days before expiry.
  • In the event of a breach of this agreement, the license may be revoked.
  • Upon termination or revocation, the software must be uninstalled.

10. Final Provisions

  • German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
  • The place of jurisdiction, where permissible, is Berlin.
  • Amendments to this license agreement must be made in writing.
  • Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
